Terms of Service

1. Acceptance of Terms

By accessing or using RipeCrate (the “Platform”), operated by RipeCrate, a Massachusetts Public Benefit Corporation (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. Description of Service

RipeCrate is a farm intelligence and procurement platform that helps restaurants, institutions, and government buyers find and source from local farms. We connect farms with buyers through data and communication tools. We do not handle, store, transport, or sell food. All purchasing arrangements are made directly between buyers and farms.

3. User Accounts

The Platform supports two types of user accounts:

  • Buyer accounts: Created with an email address and password. Used by restaurants, institutions, and other food buyers.
  • Farm accounts: Created with a phone number via SMS one-time-password (OTP) verification. Used by farmers and farm operators.

You are responsible for maintaining the security of your account credentials and for all activity under your account.

4. Farm Users

The Platform is free for all farms, always. There are no fees, no premium tiers, and no hidden charges for farm users. This commitment is a core principle of our public benefit mission and will not change.

5. Buyer Subscriptions and Billing

  • Buyer accounts include a 30-day free trial with no credit card required.
  • After the trial period, continued access to buyer features requires a paid subscription.
  • All payments are processed securely through Stripe. We do not store your payment card details.
  • Subscriptions renew automatically. You may cancel at any time through your account settings.
  • Refunds are handled on a case-by-case basis. Contact us for billing questions.

6. Acceptable Use

Your use of the Platform is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference.

7. AI-Powered Features

The Platform uses artificial intelligence in several ways:

  • AI voice agents: Automated phone calls to farms for onboarding, data verification, and check-ins. All AI calls identify themselves as automated assistants at the start of the conversation.
  • Data processing: AI is used to process farm information, generate summaries, and power search functionality.
  • SMS communication: Automated text messages for verification codes, reminders, and farm updates.

AI-generated content may contain inaccuracies. Farm data is verified through regular check-ins, but we do not guarantee the accuracy of any information on the Platform.

8. Intellectual Property

The Platform, its design, code, and branding are owned by RipeCrate. Farm data and buyer content remain the property of the users who created them. By using the Platform, you grant us a license to display and process your content as needed to operate the service.

9. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy, completeness, or reliability of any farm data, crop availability, or pricing information displayed on the Platform.

10. Limitation of Liability

To the fullest extent permitted by law, RipeCrate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. This includes, but is not limited to, damages from food safety issues, failed transactions between buyers and farms, or reliance on farm data. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Massachusetts.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.
